These terms are an agreement between you and ProSe CPA. By creating an account or using ProSe CPA, you agree to them.
ProSe CPA is software that helps you prepare and file your own U.S. federal and state tax returns. It is AI software, not a CPA firm, not an enrolled agent, and not a law firm or attorney, and it does not give professional tax, legal or financial advice. Using it does not create an accountant-client, enrolled-agent, or attorney-client relationship, and no licensed preparer reviews or signs anything it produces unless you separately arrange that. It is operated by an individual, not a firm.
ProSe CPA offers deadline tracking, document storage, a tax profile, worksheets and reference material, call scripts for dealing with the IRS or a state agency, IRS forms, and “the Adviser,” an AI assistant that answers questions about your return and can draft documents into your records. Every Adviser answer is marked AI-generated. Anything it could not verify against an official source is tagged [VERIFY]; a missing fact is tagged [FILL].
You prepare, sign and file your own return, or arrange for a licensed preparer to do so. You are responsible for checking every number, date, dollar threshold and citation against the IRS or your state's own source before you rely on it or file anything, for meeting every deadline, and for deciding what to do with anything the Adviser produces. ProSe CPA does not file anything on your behalf except through the e-file feature, which today is limited to the account owner's own return.
The Adviser is AI. It can be wrong, including about tax law, deadlines, forms and dollar amounts. Everything it produces is a draft for you to check, not a finished, reviewed position. It has a limited web search restricted to official sources (irs.gov and the like) and says what it verified; it is instructed never to state a figure that varies by jurisdiction as one number and never to invent a citation, but you must still verify anything before you rely on it.
Your questions to the Adviser, and the documents you attach, are not protected by any professional privilege, because no CPA, enrolled agent or attorney is involved. You should assume that anything you type could be requested by the IRS or in a legal proceeding.
You must be 13 or older to use ProSe CPA. If you are 13 to 17, you may use only its free features (no Adviser, no paid plan), and you should use it with a parent’s or guardian’s permission. We ask for your birth month and year once to check your age; for an adult, we keep only that you are an adult, and for a minor we keep only the month you turn 18, as the Privacy Policy explains. If someone says they are under 13, or we learn that someone under 13 has an account, we close it and delete their information.
Using the Adviser means sending your questions, and any documents you attach, to an outside AI service provider so it can produce an answer or draft. Because that is a disclosure of your tax return information for purposes of preparing a return, federal law (Internal Revenue Code § 7216 and its regulations) requires your separate, informed consent before we can do it. You give or withhold that consent in the same sheet as these terms; you can use every other part of ProSe CPA without it, but not the Adviser. See the Privacy Policy for the required disclosures.
Today, no payment is taken in the app: plan level is set by the admin console. Some features are limited to the account owner, such as e-file. If we start charging for a plan, we will show the price, what renews and when, and how to cancel, before you pay anything, and you will be able to cancel online as easily as you signed up.
Your content stays yours. By using ProSe CPA, you give us only the permission we need to store and process it in order to run the service for you (for example, saving your documents, and sending your questions and any attached documents to the service providers described in the Privacy Policy so the Adviser can answer). We do not claim ownership of anything you create or upload.
We may suspend or close an account that breaks these terms or the law. You may stop using ProSe CPA at any time, and you can delete your account yourself in the Profile tab (Delete your account), which deletes your documents and everything else we keep about you, as the Privacy Policy describes. Download anything you want to keep first.
To the fullest extent the law allows, ProSe CPA is provided “as is” and “as available,” without warranties of any kind, whether stated or implied, including any implied warranty that it will work correctly, be fit for a particular purpose, or be uninterrupted or error-free. Nothing in ProSe CPA is a guarantee that a filing will be accepted, that a deadline is correctly stated, or that a figure or citation is accurate. You use it at your own risk and remain responsible for verifying anything it produces before you rely on it.
To the fullest extent the law allows, we will not be liable for indirect, incidental, special or consequential damages, or for lost data, a missed deadline, a penalty, or any outcome of your filing, arising from your use of ProSe CPA, even if we were told this could happen.
Nothing in this section limits any right or protection that the law does not allow us to limit.
If we change these terms in a way that matters, we will show the change in the app and ask you to agree again before you can keep using ProSe CPA.
